AFFILIATE PROGRAM TERMS & CONDITIONS

These Terms and Conditions (the Terms) apply to everyone who participates in the PaperKrane Krew affiliate program (the Program). By joining the Program, accessing the affiliate portal, or accepting commissions, you agree to these Terms. They should be read alongside our Terms of Service and Privacy Policy.

In these Terms, PaperKrane, we, us and our mean PaperKrane Pty Ltd ABN: 71 613 421 168, and you or Affiliate means the person or business approved to join the Program.

1. Affiliate Links and Codes

PaperKrane tracks affiliate sales through unique tracking links and personal discount codes. Automated coupon-aggregator sites sometimes scrape codes and publish them on generic deal sites, and some run paid search ads on our brand keywords to intercept shoppers who are already at checkout. That misattributes commissions and dilutes the value of the community you've built, which is why the rules in section 4 matter.

1.1 Your Affiliate Link and Affiliate Code. Each Affiliate is given a unique tracking link through our affiliate portal (the Affiliate Link) and a personal discount code (the Affiliate Code). Customers who click through your Affiliate Link, or enter your Affiliate Code at checkout, receive 10% off eligible items in their order (the Customer Discount).

1.2 How the discount is applied. With an Affiliate Link, the Customer Discount is applied automatically at checkout. With an Affiliate Code, the customer enters the code at checkout.

1.3 Affiliate Codes: full-priced items only. The Customer Discount given through an Affiliate Code applies to full-priced items only. Sale items and other discounted items are not eligible, and in an order that includes both, the code discounts only the full-priced items. This restriction does not currently apply to the Customer Discount given through an Affiliate Link.

1.4 Describe the discount accurately. You must describe the Customer Discount accurately to your audience, including that Affiliate Codes apply to full-priced items only.

1.5 Special codes. We may, at our sole discretion, issue a single-use or special-purpose code (for example, the one-time Affiliate discount in clause 6). Such a code is for the named recipient only and must not be shared or published.

1.6 Changes. We may change how Affiliate Links and Affiliate Codes work, including the Customer Discount, the conditions that apply to it, or moving to Affiliate Links only, by giving notice under clause 13.

2. Joining the Program

2.1 Eligibility. To be eligible you must:

  • be at least 18 years old (or the age of majority where you live) and able to enter a binding agreement;
  • be familiar with, or a fan of, PaperKrane shoes and what we stand for;
  • have an active online presence (for example a social media account, blog, podcast, YouTube channel or similar platform) that engages a genuine community, or be a clinician, foot health specialist, barefoot coach, movement expert or wellness educator who recommends products to clients or followers; and
  • be approved by us.

2.2 Application and approval. Applications are made through our affiliate portal. We may accept or decline any application at our discretion, and we are not required to give reasons.

2.3 Accurate information. You must provide accurate, complete and current information (including contact, platform and payment details) and keep it up to date.

2.4 Independent contractor. You are an independent party. Nothing in these Terms creates an employment, partnership, agency, joint venture or franchise relationship. You cannot bind PaperKrane or make promises on our behalf.

2.5 Non-exclusive. The Program is non-exclusive. You may promote other brands, and we may run other affiliate, stockist and marketing programs.

3. Promoting PaperKrane

3.1 Where you may promote. You may promote PaperKrane through the platforms you listed in your application, using your Affiliate Link and the approved brand assets we provide. If you want to promote on a new platform or channel, please check with us first.

3.2 Honest and authentic content. Your content must be truthful, genuine and not misleading. You must only describe PaperKrane products based on real knowledge or experience, and must not make claims that we have not approved.

3.3 Health and medical claims. Because many Affiliates are health professionals, please be especially careful. You must not state or imply that PaperKrane shoes diagnose, treat, cure or prevent any medical condition, and you must not make guarantees about health outcomes. General statements about barefoot footwear should be accurate and balanced. If you are a regulated health practitioner, you remain responsible for complying with the advertising and professional rules that apply to you (for example, those of AHPRA and your professional board in Australia, or the equivalent in your country).

3.4 Disclose your relationship. You must clearly and prominently disclose that you earn commission or receive benefits from PaperKrane whenever you share your Affiliate Link. The disclosure must be easy to see and understand in the content itself (for example "#ad", "#affiliate", or "I earn a commission if you buy through my link"), not hidden in a bio, behind a "read more" link or buried among hashtags. You are responsible for complying with all laws and platform rules on endorsements and disclosures, including the Australian Consumer Law, the AANA Code of Ethics and guidance from the ACCC, the US FTC Endorsement Guides, and the UK ASA/CMA rules, as applicable to you and your audience.

3.5 Content standards. Your content must not:

  • be unlawful, defamatory, discriminatory, hateful, sexually explicit, violent or otherwise offensive;
  • infringe anyone's intellectual property, privacy or other rights;
  • falsely imply that you are PaperKrane or an official representative of PaperKrane;
  • misrepresent prices, discounts, availability, shipping times or return conditions; or
  • disparage competitors in a misleading or defamatory way.

3.6 Brand assets. We may supply logos, images and copy for your use. You may use them only to promote PaperKrane under the Program, and must not alter them in a way that is misleading or damages our brand. All intellectual property in PaperKrane's name, logo, products, images and content remains ours. We grant you a limited, revocable, non-exclusive, non-transferable licence to use them during the Program in line with these Terms.

3.7 Customer-generated content. If you want to use photos, videos or reviews of customers, you are responsible for getting any consents required.

4. Prohibited Promotion Methods

4.1 Paid advertising is strictly prohibited. To keep the Program fair for all creators, you must not pay to promote PaperKrane, your Affiliate Link or any PaperKrane discount, directly or indirectly, through:

  • paid search advertising (including Google Ads and Bing Ads); or
  • paid social advertising (including Meta, TikTok, and similar platforms), including boosted or promoted posts.

4.2 Trademark and brand bidding. You must not bid on, buy, or use as keywords, ad text or ad display URLs any of our trademarks, brand names or close variations or misspellings, including "PaperKrane", "Paper Krane", "PK Shoes", and any similar terms. You must not register or use domain names, social media handles or business names that include or are confusingly similar to our brands.

4.3 Other prohibited conduct. You must not:

  • submit, post or share your Affiliate Link or any PaperKrane discount on coupon, voucher, deal, cashback or loyalty aggregator sites, or allow it to be listed there;
  • use browser extensions, toolbars, pop-ups, redirects, cookie stuffing, forced clicks, hidden links, iframes or any technique that places a tracking cookie or overrides another Affiliate's attribution without a genuine customer click;
  • send unsolicited bulk messages (spam) in breach of the Spam Act 2003 (Cth) or similar laws;
  • purchase through your own Affiliate Link, or through the link of someone connected to you, to earn commission (self-referrals), unless we have agreed in writing;
  • place fraudulent, test or artificial orders, or encourage others to do so;
  • offer cashback, rebates or incentives (other than your own genuine content) to customers for clicking your link; or
  • run contests or giveaways involving PaperKrane without our written approval.

4.4 Your responsibility for others. You are responsible for any person who acts on your behalf or uses your Affiliate Link with your permission, including agents, employees and contractors. Our tracking tools automatically reject sales that follow a click on a Google ad promoting an Affiliate Link, and we may reject or reverse commission on any order we reasonably believe came from paid advertising on any platform.

5. Commissions

5.1 Commission rate. You will earn a commission of 5% of the eligible net sale value of qualifying orders placed through your Affiliate Link. 5% is our standard rate. We may agree a different rate with an individual Affiliate on a case-by-case basis, and any such rate applies only once we confirm it to you in writing (email is fine) or in the affiliate portal.

5.2 Qualifying orders. A qualifying order is a completed, paid order that:

  • is placed by a customer who arrived via your Affiliate Link or entered your Affiliate Code at checkout, and is correctly tracked;
  • is made within 30 days of the customer's click (the Attribution Window); and
  • is not cancelled, refunded, returned, charged back, or found to be fraudulent or in breach of these Terms.

5.3 Eligible net sale value. Commission is calculated on the order total after all discounts (including the Customer Discount and any automatic store discounts) and returns, and excluding GST and other taxes, shipping, gift cards, and any other amounts we specify.

5.4 Attribution. Commissions are credited to the Affiliate whose tracking link was the last click before the purchase, unless otherwise stated in the portal. An order placed using an Affiliate Code is credited to the Affiliate who owns that code, unless our tracking records show otherwise. Each click tracks one order: once a customer completes a purchase, the tracking ends, and any later order needs a new click through an Affiliate Link. Commission is payable on qualifying orders from new and returning customers alike. Our tracking records, provided through our affiliate platform, are final in the absence of manifest error. Tracking can be affected by factors outside our control such as browser settings, ad blockers or device changes, and we are not liable for untracked sales.

5.5 Returns and cancellations. If an order is returned, refunded, exchanged for a lower value, cancelled or charged back, the related commission is reversed or adjusted. If commission has already been paid, we may deduct it from future payments.

5.6 Verification. Order status is updated automatically from our store, so returned, refunded or cancelled orders drop out of your commissions. We do not apply a fixed pending period: a commission becomes payable once its order is verified as completed. If an order is returned, refunded or charged back after you have been paid, clause 5.5 applies.

5.7 Changes to rates. We may change commission rates, the Attribution Window, or the Customer Discount by giving you 14 days' notice in the affiliate portal or by email. Changes apply to orders placed after the notice period ends.

6. Affiliate Benefits

6.1 One-time Affiliate discount. Approved Affiliates may receive a one-time discount of 40% on a single order. We issue it as a single-use discount code, sent to you separately from the affiliate portal, and it works only on our online store. The code can be used once only and expires 12 months after we issue it. Clinics, practitioners and other health professionals may use it to buy sample stock for display in their clinic and for customer education. Other Affiliates, such as wellness advocates and content creators, may use it to buy product for personal wear and use, to explore and evaluate PaperKrane shoes, and to create content about them. This discount is personal to you, is not transferable, may not be resold, and cannot be combined with your Affiliate Link, your Affiliate Code or other offers unless we say otherwise. Orders placed with this discount do not earn commission.

6.2 Gifted or loaned product. Any products we send you remain your responsibility. If we gift you product, you are responsible for any tax obligations that arise and for disclosing the gift or discount in line with clause 3.4.

7. Payments

7.1 Payment threshold and schedule. Approved commissions are paid monthly (we process payouts around the 4th to 5th of each month for the preceding month) once your approved balance reaches at least $50 AUD. Payments are made by PayPal only. You must set up your PayPal details in your affiliate dashboard once your application is approved. Balances below the threshold carry forward.

7.2 Payment details. You are responsible for providing correct payment details. We are not responsible for payments sent to incorrect details you supplied, or for bank or payment-provider fees charged to you.

7.3 Taxes. You are responsible for all taxes on commissions you receive, including income tax and, if you are registered or required to register, GST. If you have an ABN, please provide it. If you do not provide an ABN where required, we may be required to withhold tax from payments. Where applicable we may request tax forms or other documents.

7.4 Currency. Commissions are calculated and paid in AUD unless we notify you otherwise.

7.5 Unclaimed commissions. If we cannot pay you because your details are invalid or you do not respond to our reasonable requests for 12 months, the unclaimed commission may be forfeited to the extent the law allows.

7.6 Set-off. We may deduct from any amount we owe you any amounts you owe us, including reversed commissions.

8. Tracking, Data and Privacy

8.1 Tracking technology. The Program relies on cookies, tracking links and similar technology operated by us and our affiliate platform provider. You must not interfere with them.

8.2 Your privacy obligations. If you collect any personal information from your audience, you are responsible for complying with applicable privacy laws and platform rules. You must not share with us, or ask us to share with you, personal information about customers.

8.3 Information about you. We collect and use your personal information (including contact, platform and payment details) to run the Program, in line with our Privacy Policy. We may share it with our affiliate platform and payment providers for this purpose.

8.4 Confidentiality. Non-public information we give you (for example unreleased products, launch dates, internal pricing and commission arrangements) is confidential. You must not disclose it without our written permission.

9. Monitoring and Compliance

9.1 Monitoring. We may monitor your content, channels, traffic and conversions to check compliance with these Terms. You agree to give us reasonable information about your promotion methods if we ask.

9.2 Breaches. If you breach these Terms, we may, at our discretion and without liability:

  • ask you to correct or remove content within a set time;
  • withhold, reverse or cancel commissions on affected orders;
  • suspend your access to the portal or Affiliate Link; or
  • terminate your participation in the Program.

9.3 Removing content. If we notify you that content breaches these Terms, you must correct or remove it promptly.

10. Term and Termination

10.1 These Terms apply from the date we approve your application until the Program or your participation ends.

10.2 Either party may end your participation at any time by giving written notice (email is sufficient). We may do so immediately if you breach these Terms, act in a way that damages our brand or reputation, or if we end or restructure the Program.

10.3 On termination, you must stop using your Affiliate Link, brand assets and any PaperKrane trademarks, and remove or update content to the extent reasonably required. We will pay approved commissions earned before termination, subject to these Terms, unless termination was due to fraud or serious breach, in which case we may withhold unpaid commissions on affected orders.

10.4 Clauses that by their nature should survive termination (including those on intellectual property, confidentiality, payments owing, liability and governing law) continue to apply.

11. Intellectual Property

11.1 All trademarks, logos, product designs, images, copy and other intellectual property of PaperKrane remain ours. Nothing in these Terms transfers any rights to you except the limited licence in clause 3.6.

11.2 You own the content you create. You grant us a non-exclusive, royalty-free, worldwide licence to share, repost and display content that features PaperKrane products and that you publish publicly, with credit to you, for the purposes of promoting PaperKrane. You can ask us to stop using specific content at any time and we will remove it from our channels within a reasonable time.

12. Disclaimers and Liability

12.1 The Program and portal are provided "as is". We do not guarantee any level of sales, traffic or earnings, or that the Program or portal will be uninterrupted or error-free.

12.2 To the maximum extent permitted by law, PaperKrane is not liable for any indirect or consequential loss, loss of profit, loss of opportunity or loss of data arising from your participation in the Program. Our total liability to you in connection with the Program is limited to the commissions payable to you but not yet paid.

12.3 You indemnify PaperKrane against any claim, loss, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your content, or your breach of any law.

12.4 Nothing in these Terms excludes, restricts or modifies any right or remedy you may have under the Australian Consumer Law or any other law that cannot be excluded.

13. Changes to the Program and These Terms

We may update these Terms or change, pause or end the Program from time to time. We'll notify you by email or through the affiliate portal. Material changes take effect 14 days after notice, except where a change is required by law or needed to protect the Program from fraud or abuse, in which case it may apply immediately. If you keep participating after the changes take effect, you accept them. If you do not agree, you may end your participation.

14. General

14.1 Governing law. These Terms are governed by the laws of Victoria, Australia, and each party submits to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.

14.2 Entire agreement. These Terms, together with any program details in the affiliate portal and on our affiliate program page, are the entire agreement between you and PaperKrane about the Program.

14.3 Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to a related company or a successor to our business.

14.4 Severability and waiver. If any part of these Terms is found unenforceable, the rest remains in effect. A delay or failure to enforce a right is not a waiver of it.
